BETWEEN

First Party: Dr. Sarvpalli Radhakrishnan Council of Vocational Education, Lucknow through its Director General & Registrar Dr. (Hon) Ram Ji Mishra (hereinafter called the "Council" / "First Party")

AND

Second Party: Radha Adarsh Bal Vidya Mandir Inter College Shivpura Balrampur (U.P.) through its Manager Mr. Prakash Gupta (hereinafter called the "College" / "Second Party")

Both parties are collectively referred to as "Parties" and individually as "Party".

1. OBJECTIVE & SCOPE:

The Council shall grant Vocational & Allied Health Sciences Courses Affiliation to the College and shall provide Finance & Investment Support for infrastructure development of the College.

2. RESPONSIBILITIES OF FIRST PARTY (COUNCIL):

1. To provide Affiliation Certificate / Recognition Letter as per grade selected.
2. To provide Online Portal ID, Student Registration, Examination and facility for printing Marksheet and Certificate.
3. All Marksheets and Certificates shall bear the seal and authorized signature of the Council and shall be verifiable online.
4. Finance & Investment Support: The Council shall facilitate and support the College in getting Finance / Loan / Investment from Tata Capital, Avanse or other Finance Agency. The Council will act only as a Facilitator. The entire repayment liability shall be of the College only.

3. RESPONSIBILITIES OF SECOND PARTY (COLLEGE):

1. The College shall conduct all courses strictly as per Council norms, syllabus and guidelines at its own premises at Kudargodwa, Balrampur.
2. Admission, teaching, examination, discipline and infrastructure maintenance shall be managed by the College.
3. The College shall provide all necessary infrastructure, land, building, lab and documents required for Affiliation and Finance proposals and shall be responsible for their authenticity.

4. FINANCIAL TERMS & SEAT APPROVAL:

This is a One-Time Affiliation Fee Model. There is No Revenue Sharing.

1. For A Grade Affiliation: Fees: Rs. 75,00,000/- (Rupees Seventy Five Lakh Only) One Time, Approval: 300 Seats, Validity: 15 Years
2. For B Grade Affiliation: Fees: Rs. 50,00,000/- (Rupees Fifty Lakh Only) One Time, Approval: 200 Seats, Validity: 10 Years
3. For C Grade Affiliation: Fees: Rs. 25,00,000/- (Rupees Twenty Five Lakh Only) One Time, Approval: 100 Seats, Validity: 5 Years

5. PAYMENT SCHEDULE:

The entire Affiliation Fee as per selected grade shall be paid by the College to the Council in One Time Full Payment through RTGS / NEFT / DD / Cheque at the time of signing of this MOU and before issuance of Affiliation Certificate. This amount is Non-Refundable and Non-Adjustable.

6. LEGAL & TECHNICAL CLAUSES:

1. Indemnity Clause: Second Party shall indemnify and keep harmless the First Party from any legal dispute, claim, or liability arising out of admission, fees, or activities of the College.
2. Non-Transferable Clause: This affiliation and MOU is non-transferable. College cannot sublet or franchise it to any third party.
3. Confidentiality Clause: Both parties shall maintain confidentiality of financial terms and student data.
4. Arbitration Clause: In case of any dispute, matter shall be first resolved mutually, failing which it shall be referred to Arbitration under Arbitration and Conciliation Act, 1996. Arbitrator shall be appointed by First Party.
5. Force Majeure: Neither party shall be liable for failure due to circumstances beyond control like natural calamity, govt. order etc.

7. DURATION OF MOU:

Validity shall be as per the Grade selected i.e. 15 Years for A Grade, 10 Years for B Grade and 5 Years for C Grade. It can be extended with mutual written consent after paying renewal fees.

8. TERMINATION:

Either party can terminate this MOU by giving 1 month prior written notice. In case of termination or violation of Council norms, the affiliation fees paid shall not be refunded and all issued Certificates/Marksheets shall stand cancelled.

9. JURISDICTION:

All disputes shall be subject to Lucknow Jurisdiction only.
